Welcome to Verified Directory. These Terms of Service ("Terms") govern your access to and use of the Verified Directory website, API, MCP server, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, submitting a business listing, using our API, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

2. Description of Service

Verified Directory is a business directory platform that provides:

• A searchable database of verified business listings
• Tools for business owners to claim and manage their listings
• A public REST API for programmatic access to directory data
• A Model Context Protocol (MCP) server for AI agent integration
• Administrative tools for content moderation and verification

3. User Accounts

3.1 Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or inactivity.

4. Business Listings

4.1 Submission Guidelines

When submitting a business listing, you represent and warrant that:

• All information provided is accurate, current, and complete
• You have the authority to submit the listing on behalf of the business
• The business is a legitimate, legally operating entity
• The listing does not contain any false, misleading, or deceptive information
• The listing does not infringe on any third party's intellectual property rights

4.2 Verification Process

All submitted listings undergo a review and verification process. We reserve the right to:

• Approve, reject, or request modifications to any listing
• Verify business information through third-party sources
• Assign trust scores based on our verification criteria
• Remove or suspend listings that violate our guidelines

4.3 Claiming a Business

If you are the owner or authorized representative of a business already listed in our directory, you may submit a claim request. You must provide sufficient proof of ownership or authorization as determined by our verification team.

5. API and MCP Usage

5.1 API Access

Our API is provided for programmatic access to public directory data. By using the API, you agree to:

• Comply with our rate limiting policies (currently 100 requests/minute for public endpoints)
• Not attempt to circumvent rate limits or access controls
• Not use the API for any unlawful purpose or to harm the Service
• Attribute data from Verified Directory when displaying it publicly
• Not resell or redistribute bulk data without written permission

5.2 MCP Integration

Our Model Context Protocol (MCP) server enables AI agents to access directory data. MCP usage is subject to:

• All API terms and conditions
• Rate limits of 200 requests/minute for MCP endpoints
• Prohibition on using MCP data for training AI models without permission
• Requirement to clearly indicate when responses are based on Verified Directory data

5.3 Data Usage Restrictions

You may not use data obtained from our Service to:

• Build a competing directory service
• Spam, harass, or contact businesses for unsolicited commercial purposes
• Scrape, harvest, or collect data beyond API/MCP access
• Create derivative works that misrepresent the source of information

6. Prohibited Conduct

You agree not to:

• Submit false, fraudulent, or misleading business information
• Impersonate another person or business
• Attempt to gain unauthorized access to any part of the Service
• Use automated means to access the Service except through our API/MCP
• Interfere with or disrupt the Service or servers
• Upload viruses, malware, or other malicious code
• Violate any applicable laws or regulations
• Engage in any activity that could harm minors
• Submit content that is defamatory, obscene, or offensive

7. Intellectual Property

7.1 Our Content

The Service and its original content (excluding user-submitted content), features, and functionality are owned by Verified Directory and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

You retain ownership of content you submit to the Service. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute such content in connection with the Service.

7.3 AI-Generated Content

Some content on the Service, including business summaries and keywords, may be generated or enhanced using artificial intelligence. This AI-generated content is provided for informational purposes and is owned by Verified Directory.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• All information in the directory is accurate or complete
• Verification status guarantees the quality or legitimacy of a business
• The Service will meet your specific requirements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFIED DIRECTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of $100 or the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Verified Directory and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party rights
• Content you submit to the Service

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Verified Directory regarding the Service.
